«MODALITÀ DI PRESENTAZIONE DELLE OFFERTE E SELEZIONE DELL'AGGIUDICATARIO»

A. MODALITÀ DI PRESENTAZIONE DELLE OFFERTE E DI PARTECIPAZIONE
La raccolta competitiva delle offerte avviene in via telematica alle condizioni espressamente disciplinate sul portale  www.locazionigiudiziarie.it o www.doauction.it o  www.astemobili.it
Gli utenti possono inserire, entro lo scadere del termine ultimo consentito dal sistema (ore 12:00 del 17/11/2020), una proposta di locazione e gestione ed effettuare dei rilanci con rialzo minimo di € 500,00.
Successivamente TUTTE le offerte pervenute saranno valutate dagli organi della procedura secondo i criteri di seguito indicati ed a seguito della valutazione si avrà l'aggiudicazione.
Per partecipare alla procedura competitiva telematica di locazione e gestione dell'azienda, l'offerente interessato dovrà entro le (ore 12:00 del 17/11/2020),  collegarsi al sito web www.locazionigiudiziarie.it o oauction.it o  www.astemobili.it, dove sarà presente un collegamento alla gara telematica, l'utente, dopo avere effettuato l'accesso al portale previa registrazione seguendo la procedura indicata dal sito, inserendo tutti i dati obbligatori e la documentazione richiesta, si dovrà iscrivere alla stessa mediante la relativa scheda dettagliata del lotto, versando preventivamente la cauzione richiesta, tramite carta di credito (iscrizione immediata) o bonifico bancario (iscrizione a seguito di verifica entro e non oltre le ore 11:00 del 17/11/2020.) ed ALLEGANDO LA DOCUMENTAZIONE INTEGRATIVA RICHIESTA NELL'AVVISO. 
Una volta verificata la cauzione l'utente potrà partecipare alla gara inserendo la propria offerta* ed effettuando gli eventuali rilanci.
*L'offerta inserita è da intendersi irrevocabile.

B. FORMA E CONTENUTO DELL'OFFERTA
A pena di esclusione, l'offerta, sottoscritta in ogni sua pagina, dovrà inderogabilmente contenere:
A)
L'offerta irrevocabile di locazione e gestione della ditta “ROYAL Cafè” di Filocamo Antonino “ - Sez. GIP GUP Proc. Seq. n° 3930/2017 RGNR DDA, n° 2450/18 RG GIP DDA e n° 11/20 ROCC DDA Provv. Seq., per la durata di mesi 12 ,dovrà contenere:
- la dicitura "Offerta relativa alla locazione e gestione procedura  n° 3930/2017 RGNR DDA, n° 2450/18 RG GIP DDA e n° 11/20 ROCC DDA ;
- l'indicazione del nome e cognome/denominazione, luogo e data di nascita/sede, codice fiscale/partita IVA, domicilio, stato civile, recapito telefonico del soggetto o dei soggetti o del legale rappresentante della società cui andrà intestato il contratto di locazione e gestione;
- l'indicazione del canone annuale offerto, che non potrà  essere inferiore ad 18.000,00 (eurodiciottomila/00) oltre iva se dovuta, oneri e commissioni pari ad una mensilità oltre iva sul prezzo offerto dall'aggiudicatario, quest'ultimi da corrispondere al commissionario secondo le modalità indicate nel sito www.locazionigiudiziarie.it o www.doauction.it o www.astemobili.it;
- la dichiarazione di disponibilità a stipulare il contratto di locazione e gestione entro il termine perentorio di 15 (quindici) giorni dall'aggiudicazione o nel minor termine che sarà comunicato dall'amministrazione giudiziaria;
- impegno formale come indicato nel presente avviso, di consegnare in originale entro la data della stipula del contratto di locazione e gestione:
contratto di assicurazione contro i rischi ALL RISK polizza fideiussoria a prima richiesta
B) documentazione attestante la disponibilità dell'istituto di credito e/o della compagnia di assicurazione al perfezionamento delle garanzie ALL RISK e polizza fideiussoria all'esito dell'aggiudicazione
C) copia di un documento di identità in corso di validità del soggetto o del legale rappresentante della società che sottoscrive l'offerta, visura camerale aggiornata della società partecipante alla gara, delibera dell'organo amministrativo o dell'assemblea dei soci, ultimo bilancio di esercizio approvato, se presente.
D) certificato dei carichi pendenti e del casellario giudiziale del soggetto proponente o del legale rappresentante della società partecipante; certificato fallimentare e certificato antimafia dell'offerente proponente o del legale rappresentante della società partecipante nonché di tutti i soci;
E) prestazione di una cauzione, pari al 10% dell'importo del canone annuale oggetto dell'offerta, da versare sul C/C del commissionario: "Beneficiario: Edicom Servizi s.r.l. - Banca: Intesa Sanpaolo IBAN: IT06 2030 6904 6231 0000 0004 900 Causale: Cauzione Procedura Tribunale di Reggio Calabria Sez GIP GUP  n. Proc. Seq. n° 3930/2017 RGNR DDA, n° 2450/18 RG GIP DDA e n° 11/20 ROCC DDA”,
 che sarà detratta in ipotesi di aggiudicazione dal corrispettivo di locazione al netto degli oneri e delle commissioni ovvero sarà trattenuta dall'Amministrazione giudiziaria in caso di mancata stipula da parte dell'aggiudicatario del contratto di locazione alle condizioni riportate nel presente avviso.
F) contenere, in separato documento allegato, la dichiarazione redatta su carta intestata dell'offerente stesso, nella quale, quest'ultimo:
1) dichiara di conoscere la ditta ROYAL Cafè” di Filocamo Antonino , oggetto del contratto sia nella consistenza giuridica che nella consistenza materiale (beni mobili, attrezzature  strumentali, ubicazione locali ecc.) per avere svolto al riguardo ogni accertamento ritenuto necessario; di avere attentamente valutato tutte le condizioni indicate nel presente avviso e dei documenti ai quali viene fatto riferimento e di non avere nulla da osservare e conseguentemente di accettarle integralmente ed incondizionatamente;
2) dichiara espressamente di accettazione della ditta ROYAL Cafè” di Filocamo Antonino  oggetto del contratto come vista e piaciuta nello stato di fatto e di diritto in cui si trova, con espressa rinuncia alle norme concernenti la garanzia per vizi o mancanza di qualità, nonché ogni contestazione in merito alle indicazioni fornite dalla procedura;
3) dichiara essere in regola con il pagamento dei contributi previdenziali e con il pagamento di imposte e tasse nei confronti dello Stato e degli Enti pubblici;
4) dichiara di avere una struttura organizzativa idonea alla gestione di aziende quali quella oggetto del presente avviso;
5) dichiara di possedere o di poter conseguire entro il termine per la stipula del contratto di locazione e gestione di tutte le licenze necessarie per l'attività oggetto del contratto.
La presentazione dell'offerta comporta l'automatica accettazione di tutte le condizioni esposte o richiamate dall'avviso. Ogni eventuale condizione aggiuntiva aggiunta dall'offerente che non sia di miglior favore per la procedura si considererà come non apposta.

 

C. MODALITÀ E SVOLGIMENTO DELL'AGGIUDICAZIONE
Degli esiti della procedura il commissionario trasmetterà apposita relazione all'amministrazione giudiziaria affinché la stessa informi il Giudice Delegato alla misura di Prevenzione depositando in cancelleria la relativa documentazione.
All'esito della valutazione da parte del G.D. sulla relazione del Commissionario depositata dall'Amministrazione giudiziaria si avrà l'aggiudicazione provvisoria con provvedimento del G.D. che sarà trasmesso all'aggiudicatario con comunicazione via PEC.

CRITERIO DI AGGIUDICAZIONE
L'aggiudicazione avverrà con il metodo dell'offerta più vantaggiosa applicando al caso di specie per analogia la norma di cui all'art. 107 L. Fall. e sarà a favore del concorrente che:
a) avrà offerto il canone più alto annuo
b) avrà offerto le migliori garanzie: fideiussione bancarie-assicurative, deposito cauzionale e assicurazione ALL RISK; abbia una struttura organizzativa più idonea alla gestione di attività quale quella oggetto del presente avviso; abbia esperienza nel settore della panetteria;


PARTE QUARTA
«AVVERTENZE ESSENZIALI»

Gli offerenti rimangono avvertiti:
a) Le offerte verranno valutate dagli organi della procedura sulla base dei criteri sopra indicati.
b) Prima della sottoscrizione potranno essere chieste dagli Amministratori Giudiziari integrazioni o modifiche alle bozze del contratto di assicurazione ed alla fideiussione in conformità dei principi enunciati nel bando, che dovranno essere conformemente modificate prima della stipula.
c) Non sono ammesse offerte di importo inferiore al canone minimo posto a base d'asta.
d) L'avviso e la ricezione di eventuali offerte, anche nel caso di unico offerente, non comportano per l'amministrazione giudiziaria alcun obbligo di stipula dell'atto nei confronti di eventuali offerenti e per costoro alcun diritto, costituendo il presente avviso un mero invito ad offrire e non un' offerta al pubblico ex art.1336 c.c., né sollecitazione al pubblico risparmio.
e) Il contratto di locazione e gestione verrà stipulato dagli Amministratori Giudiziari con il locatario soltanto dopo l'avvenuto integrale pagamento della prima trimestralità e degli accessori di legge.
f) In caso di pagamento non integrale o di mancato pagamento, la cauzione sarà acquisita dall'amministrazione giudiziaria, che ne assicurerà il tempestivo deposito sul conto intestato alla procedura di prevenzione. I beni, previa declaratoria di decadenza dall'aggiudicazione, saranno cosi rimessi in locazione alle medesime condizioni indicate.
g) Nel caso di inadempimento del soggetto individuato come aggiudicatario all'obbligo di stipulare il contratto di locazione e gestione alle condizioni previste nell'avviso, la cauzione sarà definitivamente trattenuta dalla procedura, fatto salvo il risarcimento di ogni maggior danno.
h) Per quanto non espressamente previsto nel presente contratto si rinvia alle norme di legge.

FOR THE LEASE AND MANAGEMENT OF THE BAR / PASTRY / ROSTICCERIA BUSINESS
THROUGH SIMPLIFIED COMPETITIVE PROCEDURE

The undersigned, Dr. Abramo Giovanni, appointed as Judicial Administrator on 23 July 2020, pursuant to ex art. 321, paragraphs 1 and 2, Cpp, with Ordinance No. 3930/2017 RGNR DDA, No. 2450/18 RG GIP DDA and No. 11/20 ROCC DDA of the "ROYAL Cafè" Individual Company of Filocamo Antonino, with registered office in Viale Calabria 101 - Reggio Calabria, CF FLC NNN 88B11 H224B and VAT number 02553720802, registered with the Chamber of Commerce of Reggio Calabria, with REA number RC-206799, authorized to carry out this deed by the illustrious Delegated Judge, with provision of 05 October 2020;

GIVEN THAT

A - The Court, in relation to Proc. Seq. indicated in the epigraph, has ordered the preventive seizure of the company indicated below, and of all the elements present in the company assets of the same (including real estate, credits, items resulting from the inventory, capital goods, company name, goodwill, authorizations to carry out commercial activities, etc.),
The property used for the company's business is located in Reggio Calabria viale Calabria 101 and is a Lease Agreement for use other than the home of a building on the ground floor structured as follows:

Ground floor
- bar area;
- pastry laboratory;
- customer service (Bar);
- employee service (Laboratory);
- External gazebo;
- The activity includes mobile capital goods, equipment, furniture and furnishings, accessories, systems, etc.

B - The undersigned, Dr. Abramo Giovanni, Judicial Administrator of the "ROYAL Cafè" Individual Company of Filocamo Antonino, with registered office in Viale Calabria 101 - Reggio Calabria, CF FLC NNN 88B11 H224B and VAT number 02553720802, registered with Commercio di Reggio Calabria, with REA number RC-206799, asked the Delegated Judge for authorization to carry out a simplified competitive procedure aimed at identifying the best offer for the stipulation of a lease, in the perspective of the most profitable management of the same. .

C - Any decision regarding the evaluation of the offers received is expressly reserved unquestionably and at the discretion of the procedural bodies.

SECOND PART
"THE LEASE AGREEMENT"
A. FORM OF THE CONTRACT.

The aforementioned company, with all movable property and equipment will be granted to those who will be awarded the simplified competitive procedure that will take place in the manner provided for in the following Part III (Method of submitting the offer) with private deed authenticated by a notary who will be indicated by the judicial administration, stipulated on the basis of the contractual clauses referred to in paragraph B below (Contract clauses), which will be considered irrevocably accepted by all those who submit offers pursuant to this notice.
The rental takes place in the state of fact and law in which the goods are found, the existence of any defects, lack of quality or discrepancy of the rented thing, charges of any kind even if hidden cannot give rise to any compensation, indemnity or price reduction.

B. CONTRACT CLAUSES.

DURATION
The lease, without prejudice to the provisions of other clauses, and provided that this duration is compatible with the needs of the company's preventive measure, is agreed in twelve months from the date of signing the contract.

The contract may be extended from year to year unless the parties communicate cancellation within 90 days of the annual expiry.

The parties expressly agree that in the event of definitive confiscation or release from seizure during the period of validity of the contract, the contract is considered terminated and ineffective with consequent obligation of the tenant to return the company within 120 days from the communication of the intervention. fulfillment of the condition.

ANNUAL FEE

- The annual rent for this lease is set at a total of Euro 18,000.00, plus VAT if due , to be paid by bank transfer to the current account of the procedure:
- as for the first quarter, by advance payment of the first three months , to be made at the same time as the date of signing the rental contract;
- as for the subsequent period, in advance quarterly installments.

The rent includes the use of the leased premises (*), it does not include taxes, fees, waste, costs for supplying electricity, water, gas, telephone, and any other supply service, all charges that will be exclusive charge of the tenant who will pay them directly to the entitled parties.

The payment of the rent cannot be suspended or delayed by exceptions or claims of the tenant.
(*) The rent of the premises is charged to the procedure;

EXPRESS TERMINATION CLAUSE

The rental contract will be terminated, pursuant to art. 1456 of the Italian Civil Code, in the event that the delay in the fulfillment of the obligation to pay the rent extends for more than sixty days from the expected deadline. In this case, the termination will occur by law when the grantor declares to the tenant, by registered letter with return receipt, or PEC, that he wishes to make use of this termination clause.

WITHDRAWAL

The parties by mutual agreement recognize to the court granting the right to withdraw ad nutum from the rental contract this also as a consequence of any release from seizure or definitive confiscation of the company in the preventive procedure. This with the exclusion of any indemnity, indemnity or compensation in favor of the tenant.

In the event that the judicial administration intends to exercise the right of withdrawal, it must notify the tenant by means of certified electronic mail or other equivalent means.

WARRANTIES

Upon signing the lease contract, the lessee is required to deliver to the granting party, as a guarantee for the timely and full payment of the fees, the release of the business complex at the end of the contract and in any case the exact fulfillment of all obligations deriving from the rental contract and the law:

- ALL RISK risk insurance contract, with a leading insurance company ALL RISK policy in favor of the granting judicial administration for the entire duration of the lease to guarantee any deterioration and / or damage that may be caused by the use of the assets buildings and furniture that make up the company, also including damage from theft and / or fire and any damage to third parties connected or connected to the exercise of the activity or in any case occurring within the premises and appurtenances of the leased property;

- first demand bank guarantee policy issued by a primary credit institution equal to one year of rent with the possibility of enforcement up to 60 days after expiry, or insurance guarantee policy of a leading national company equal to one year of rent for the duration of the rent with the possibility of enforcement up to 60 days after the deadline or a security deposit equal to one year's rent., which will be returned after the return of the business complex.

This guarantee must be delivered as a formal commitment statement signed by the bidder at the time of submitting the offer, and in original to the judicial administrator at the time of stipulation of the lease.

These guarantees must be renewed and maintained also for subsequent extensions, with the tenant having the obligation to document and deliver to the judicial administration, within 60 days before the annual expiry of the contract, the documentation proving the renewal, under penalty of failure to extend the lease.

SPECIAL OBLIGATIONS BORNE BY THE LESSEE

- The tenant undertakes to manage the company covered by the contract so as not to change its current destination and to use it with the diligence of a good father of the family, while maintaining the efficiency of the organization of the systems and equipment.

- The tenant must provide for the custody of the assets covered by the contract and for the ordinary and extraordinary maintenance, notwithstanding the general rules of all movable assets making up the leased complex.

- The grantor will lease the whole of the company assets in the state of fact and law in which they are found at the time of delivery and no responsibility can be charged to him due to the state of the assets, nor can the tenant request fee reductions for the same reason .

- The tenant will declare that he has read the movable assets making up the business complex and will be obliged to use them only after they are placed in a condition, at his own expense, to comply with the accident prevention and fire prevention regulations and any other legal provisions relating to activities to be carried out, exempting the judicial administration in any case from any liability deriving from the aforementioned.

- The tenant is also responsible for all the necessary formalities in order to comply with the regulations relating to safety at work as per law no. 81/2008, as well as the obligations relating to HACCP and RSPP and in general all the obligations relating to the exercise of the activity.

- The tenant also undertakes to return the leased property upon expiry of the contract or in the event of the exercise of the right of withdrawal by the judicial administration, or, again, in the event of activation of the express termination clause, in the state of normal efficiency in which it acknowledges having received it from the grantor, except for normal deterioration due to use.

- It is forbidden for the tenant to transform, modify or improve the rented property without the written consent of the grantor. In any case, at the end of the lease, the granting party will have the right to demand restoration, at the expense of the tenant, or to retain the new works without paying any compensation to the tenant.

- The restoration can also be requested during the lease if the changes or new works have taken place without the aforementioned express consent in writing.

- The tenant party may take all initiatives in accordance with the interest of the business and aimed at improving production, provided that this does not change the economic destination of the company being rented and does not involve charges and does not cause prejudice to the granting party.

- The conductor also undertakes to continue to manage the bakery business under the company that distinguishes it, refraining from modifying, altering or using it together with other different distinctive signs.

- The conductor will therefore undertake to observe in particular the following prohibitions and obligations:

1) prohibition of sale and sublease of the company "ROYAL Cafè" of Filocamo Antonino;
2) obligation to maintain adequate insurance coverage for the entire duration of the contract in relation to theft, fire, any kind of damage to the company's assets and local buildings, as well as civil liability towards third parties and the obligation of renewal for the entire duration of the rental of the guarantees for the exact fulfillment of the obligations assumed;
3) obligation to provide for the ordinary and extraordinary maintenance of the assets making up the company covered by the contract;
4) waiver at the end of the contract to remuneration or indemnity of any kind either for loss of earnings or for improvements, additions, and extraordinary expenses possibly made to the assets, even if with the consent of the grantor, or for any other reason.

RIGHT OF INSPECTION

The renter reserves the right, pursuant to art. 1619 cc, the right to ascertain at any time, including by accessing the places used for the business, the fulfillment of the obligations imposed on the tenant as well as in order to perform periodic checks on the state of the places and movable property . To this end, the lessee is responsible for allowing the lessor, including through persons specifically appointed for this purpose, to carry out inspections of the rented company at any time.

UTILITIES

The lessee is responsible for taxes, duties, levies, costs for water, electricity, gas, telephone, and any other supply service that will be stipulated with the supplying entities in the name of the lessee. At the end of the lease, the lessee will have to terminate the aforementioned contracts in good time and give the lessor proof of fulfillment, to avoid that unsatisfied obligations may remain which will never be attributable to the lessor.

PAYABLES AND RECEIVABLES OF THE COMPANY SUBJECT OF THE CONTRACT

The debts and credits that arose before the date of signing the contract do not pass into the tenant's ownership.

EXPENSES AND CHARGES OF THE STIPULA

The contract must be drawn up in the form of a private agreement authenticated by a notary chosen by the judicial administration, whose name will be communicated to the successful bidder.
The costs of the related taxes and charges will be borne by the successful bidder.

PART THREE
"METHOD FOR SUBMITTING OFFERS AND SELECTION OF THE TENDER"

A. METHOD OF SUBMITTING OFFERS AND PARTICIPATION
The competitive collection of offers takes place electronically under the conditions expressly regulated on the portal www.locazionigiudiziarie.it or www.doauction.it or www.astemobili.it
Users can enter, within the deadline allowed by the system (12:00 on 17/11/2020), a rental and management proposal and make raises with a minimum increase of € 500.00.
Subsequently ALL the offers received will be evaluated by the bodies of the procedure according to the criteria indicated below and following the evaluation, the award will be made.
To participate in the online competitive procedure for the leasing and management of the company, the interested bidder must connect to the website www.locazionigiudiziarie.it or oauction.it or www by (12:00 on 17/11/2020) . Astamobili.it, where there will be a link to the online tender, the user, after logging in to the portal after registering following the procedure indicated by the site, by entering all the mandatory data and the required documentation, must register with it by the relative detailed lot sheet, by paying the required deposit in advance, by credit card (immediate registration) or bank transfer (registration following verification by and no later than 11:00 on 17/11/2020.) and ATTACHING THE ADDITIONAL DOCUMENTATION REQUIRED IN THE NOTICE.
Once the deposit has been verified, the user can participate in the tender by entering his offer * and making any bids.
* The offer inserted is to be considered irrevocable.

B. FORM AND CONTENT OF THE OFFER

Under penalty of exclusion, the offer, signed on each page, must necessarily contain:

A) The irrevocable offer of leasing and management of the company “ROYAL Cafè” of Filocamo Antonino “- Sec. GIP GUP Proc. Seq. n ° 3930/2017 RGNR DDA, n ° 2450/18 RG GIP DDA and n ° 11/20 ROCC DDA Provv. Seq., For the duration of 12 months, must contain:

- the words "Offer relating to the leasing and management procedure No. 3930/2017 RGNR DDA, No. 2450/18 RG GIP DDA and No. 11/20 ROCC DDA;

- the indication of the name and surname / denomination, place and date of birth / registered office, tax code / VAT number, domicile, marital status, telephone number of the person or persons or of the legal representative of the company to whom the lease contract will be headed and management;

- the indication of the annual rent offered, which cannot be less than 18,000.00 (Eurodiciottomila / 00) plus VAT if due , charges and commissions equal to one month plus VAT on the price offered by the successful bidder, the latter to be paid to the commission agent according to the methods indicated on the website www.locazionigiudiziarie.it or www.doauction.it or www.astemobili.it;

- the declaration of readiness to stipulate the lease and management contract within the peremptory term of 15 (fifteen) days from the award or in the shorter term that will be communicated by the judicial administration;

- formal commitment as indicated in this notice, to deliver in original by the date of signing the rental and management contract:

B) documentation certifying the willingness of the credit institution and / or the insurance company to complete the ALL RISK guarantees and surety policy at the outcome of the award

C) copy of a valid identity document of the person or legal representative of the company signing the offer, updated chamber of commerce certificate of the company participating in the tender, resolution of the administrative body or shareholders' meeting, latest financial statements approved exercise, if any.

D) certificate of pending charges and criminal records of the proposing subject or of the legal representative of the participating company; bankruptcy certificate and anti-mafia certificate of the proposing bidder or of the legal representative of the participating company as well as of all shareholders;

E) provision of a deposit, equal to 10% of the amount of the annual fee covered by the offer, to be paid to the C / C of the commission agent: "Beneficiary: Edicom Servizi srl - Bank: Intesa Sanpaolo IBAN: IT06 2030 6904 6231 0000 0004 900 Reason: Deposit Procedure Court of Reggio Calabria Section GIP GUP n. which will be deducted in the event of adjudication from the lease payment net of charges and commissions or will be retained by the Judicial Administration in the event of failure by the contractor to stipulate the lease contract under the conditions set out in this notice.

F) contain, in a separate attached document, the declaration drawn up on the bidder's headed paper, in which the latter:

1 ) declares to know the company ROYAL Cafè ”of Filocamo Antonino, which is the subject of the contract both in terms of legal and material consistency (movable property, instrumental equipment, local location, etc.) for having carried out any assessment deemed necessary in this regard; to have carefully evaluated all the conditions indicated in this notice and the documents to which reference is made and to have nothing to observe and consequently to accept them in full and unconditionally;
2) expressly declares acceptance of the company ROYAL Cafè "of Filocamo Antonino object of the contract as viewed and liked in the state of fact and law in which it is found, with express waiver of the rules concerning the guarantee for defects or lack of quality, as well as any dispute regarding the information provided by the procedure;
3) declares to be in compliance with the payment of social security contributions and with the payment of taxes and duties towards the State and public bodies;
4) declares to have an organizational structure suitable for the management of companies such as the one covered by this notice;
5) declares to possess or to be able to obtain within the deadline for the stipulation of the lease and management contract of all the necessary licenses for the activity covered by the contract.
The submission of the offer entails the automatic acceptance of all the conditions set out or referred to in the notice. Any additional condition added by the bidder that is not of better favor for the procedure will be considered as not being applied.

C. METHOD AND CONDUCT OF THE AWARD
The commission agent will send a specific report to the judicial administration of the results of the procedure so that it informs the Judge Delegated to the Prevention measure by depositing the relative documentation at the registry.
At the outcome of the evaluation by the GD on the commissionaire's report filed by the judicial administration, the provisional award will be made with a provision of the GD which will be sent to the successful bidder with communication via PEC.

AWARD CRITERIA
The award will be made with the method of the most advantageous offer by applying the rule referred to in art. 107 L. Bankr. and it will be in favor of the competitor who:
a) will have offered the highest annual rent
b) will have offered the best guarantees: bank-insurance guarantee, security deposit and ALL RISK insurance; has an organizational structure more suitable for the management of activities such as that which is the subject of this notice; have experience in the bakery sector;


PART FOUR
"ESSENTIAL WARNINGS"

Bidders remain warned:
a) Bids will be evaluated by the procedural bodies on the basis of the above criteria.
b) Before signing, the judicial administrators may request additions or changes to the draft insurance contract and the surety in accordance with the principles set out in the announcement, which must be amended accordingly before signing.
c) Bids of amounts lower than the minimum fee based on the auction are not allowed.
d) The notice and the receipt of any offers, even in the case of a single bidder, do not entail any obligation for the judicial administration to stipulate the deed towards any bidders and any rights for them, constituting this notice a mere invitation to offer and not an offer to the public pursuant to Article 1336 of the Italian Civil Code, nor solicitation to public savings.
e) The lease and management contract will be stipulated by the Judicial Administrators with the lessee only after the full payment of the first quarterly and legal accessories has been made.
f) In case of incomplete payment or non-payment, the security will be acquired by the judicial administration, which will ensure its timely deposit on the account held in the name of the prevention procedure. The assets, subject to a declaration of forfeiture of the award, will thus be leased under the same conditions indicated.
g) In the event of non-fulfillment by the person identified as the successful bidder of the obligation to stipulate the rental and management contract under the conditions set out in the notice, the deposit will be definitively withheld from the procedure, without prejudice to compensation for any greater damage.
h) For anything not expressly provided for in this contract, please refer to the law.
